Article 1 – Definitions
In these terms and conditions, the following terms are defined as follows:
- Cooling-off Period: The period within which the consumer can exercise their right of withdrawal.
- Consumer: A natural person not acting in the exercise of a profession or business who enters into a distance agreement with the entrepreneur.
- Day: Calendar day.
- Long-term Transaction: A distance agreement related to a series of products and/or services, where the obligation to supply and/or purchase is spread over time.
- Durable Data Carrier: Any means that allows the consumer or entrepreneur to store information addressed to them personally in a way that facilitates future consultation and unaltered reproduction.
- Right of Withdrawal: The consumer’s option to withdraw from the distance agreement within the cooling-off period.
- Model Withdrawal Form: The form provided by the entrepreneur that the consumer can fill out to exercise their right of withdrawal.
- Entrepreneur: The natural or legal person who offers products and/or services to consumers at a distance.
- Distance Agreement: An agreement concluded within the framework of an organized system for distance selling of products and/or services, involving the exclusive use of one or more means of distance communication up to and including the conclusion of the agreement.
- Means of Distance Communication: A tool that can be used to conclude an agreement without the consumer and entrepreneur being in the same place simultaneously.
- General Terms and Conditions: The present General Terms and Conditions of the entrepreneur.

Article 3 – Applicability
- These terms and conditions apply to every offer by the entrepreneur and every distance agreement concluded between the entrepreneur and the consumer.
- Before the distance agreement is concluded, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, it will be stated where the general terms and conditions can be accessed electronically and that they will be sent free of charge upon request.
- If the distance agreement is concluded electronically, the terms and conditions will also be made available electronically in a way that allows the consumer to easily store them on a durable data carrier.
- Specific product or service conditions may also apply. In case of conflicting terms, the consumer may rely on the provisions most favorable to them.
- If any provision in these terms is found to be void or invalid, the agreement and other terms will remain in force, and the provision will be replaced in mutual consultation.
- Situations not covered by these terms will be assessed in the spirit of these terms.
- Ambiguities in the interpretation or content of any provision will be clarified in the spirit of these terms.
Article 4 – The Offer
- If an offer is subject to limited validity or specific conditions, this will be explicitly stated.
- The offer is non-binding, and the entrepreneur may adjust or withdraw it.
- The offer contains a complete and accurate description of the products and/or services. Any images are truthful representations of the products or services. Mistakes or errors do not bind the entrepreneur.
- All visual elements, specifications, and details in the offer are indicative and cannot be grounds for compensation or termination of the agreement.
- The entrepreneur cannot guarantee that the displayed colors match the actual product colors exactly.
- Each offer will include sufficient information to make the consumer aware of their rights and obligations when accepting the offer. This includes:
- Price, including taxes
- Shipping costs
- Payment and delivery methods
- Applicability of the right of withdrawal
- Any additional costs for distance communication
- Terms for accepting the offer
- Duration of the contract for long-term transactions, if applicable
Article 5 – The Agreement
- The agreement is established once the consumer accepts the offer and fulfills the conditions specified.
- If the consumer accepts the offer electronically, the entrepreneur will confirm receipt of the acceptance immediately. The consumer may terminate the agreement until this confirmation is received.
- If the agreement is concluded electronically, the entrepreneur ensures appropriate technical and organizational measures for secure data transfer.
- The entrepreneur may investigate the consumer’s ability to meet payment obligations and refuse orders or impose special conditions based on the outcome.
- The entrepreneur will provide the following information to the consumer:
- Contact details for complaints
- Terms of the right of withdrawal or its exclusion
- Information about warranties and after-sales service
- The details specified in Article 4, unless already provided
- Termination requirements for long-term agreements
For long-term transactions, this information is only required for the first delivery.
Article 6 – Right of Withdrawal
For the delivery of products:
- Consumers can cancel the agreement within 14 days without providing a reason. The cooling-off period starts the day after the consumer or their designated representative receives the product.
- During the cooling-off period, the consumer must handle the product and its packaging carefully. The consumer may only unpack or use the product to the extent necessary to assess whether they wish to keep it. If the consumer exercises their right of withdrawal, they must return the product with all delivered accessories and in its original condition and packaging, if reasonably possible.
- To exercise their right of withdrawal, the consumer must notify the entrepreneur within 14 days after receiving the product. Notification can be made using the model withdrawal form or another clear communication method (e.g., email). The consumer must then return the product within 14 days after this notification.
- If the consumer does not notify the entrepreneur within the set periods or does not return the product, the purchase is final.
For the delivery of services:
- Consumers can cancel service agreements within 14 days without providing a reason. The cooling-off period starts on the day the agreement is concluded.
- To exercise their right of withdrawal, the consumer must follow the instructions provided by the entrepreneur at the time of the offer or delivery.
Article 7 – Costs in Case of Withdrawal
- The consumer bears the direct cost of returning the product.
- If the consumer has already made a payment, the entrepreneur will refund the amount as soon as possible, but no later than 14 days after the withdrawal, provided the returned product has been received or sufficient proof of return is supplied. Refunds will be made using the same payment method unless the consumer agrees otherwise.
- Consumers are liable for any decrease in the product’s value if it results from handling the product beyond what is necessary to assess its nature, characteristics, and functionality.
- If the entrepreneur has not provided legally required information about the right of withdrawal, the consumer is not liable for any decrease in value.
Article 8 – Exclusion of Right of Withdrawal
- The entrepreneur can exclude the consumer’s right of withdrawal for certain products and services, as specified below. Exclusion applies only if clearly stated in the offer, or at least before concluding the agreement.
Products excluded from withdrawal:
- Products made to the consumer’s specifications.
- Products that are clearly personal.
- Products that cannot be returned due to their nature.
- Products that spoil or age quickly.
- Sealed audio, video recordings, or computer software if the seal is broken.
- Hygienic products with broken seals.
Services excluded from withdrawal:
- Services related to accommodation, transport, catering, or leisure activities to be performed on a specific date or during a specific period.
- Services that have already begun with the consumer’s consent before the end of the cooling-off period.
Article 9 – Pricing
- Prices for products and/or services will not increase during the validity period stated in the offer, except for changes due to VAT rate adjustments.
- Contrary to the previous clause, variable pricing is allowed for products or services tied to financial market fluctuations, provided this is clearly stated in the offer.
- Price increases within 3 months of concluding the agreement are only permitted if they result from statutory regulations.
- Price increases after 3 months are only allowed if the entrepreneur has stipulated this and the consumer can terminate the agreement from the date the price increase takes effect.
- Prices in the offer include VAT unless stated otherwise. All prices are subject to printing and typographical errors. The entrepreneur is not obligated to deliver a product at an incorrect price.
Article 10 – Conformity and Guarantee
- The entrepreneur guarantees that products and/or services comply with the agreement, the specifications in the offer, reasonable standards of reliability and usability, and applicable legal provisions and/or regulations.
- Any manufacturer’s guarantee does not affect the consumer’s statutory rights.
- Complaints regarding defects or incorrect deliveries must be reported to the entrepreneur in writing within two months of discovery.
- The guarantee does not apply if:
- The consumer has repaired or altered the product themselves or through a third party.
- The product has been subjected to abnormal conditions or used contrary to instructions.
- Defects result from government-imposed regulations.
Article 11 – Delivery and Execution
- The entrepreneur will handle orders with the utmost care and diligence.
- The delivery address is the one provided by the consumer.
- Accepted orders will be processed promptly, but within 30 days, unless a different delivery period has been agreed. If delivery is delayed, the consumer will be informed within 30 days and may cancel the agreement without cost.
- Delivery times are indicative and do not entitle consumers to compensation.
- If a product is unavailable, the entrepreneur will offer a replacement. Consumers retain the right of withdrawal for replacements. Return shipping for replacements is at the entrepreneur’s expense.
- The risk of product damage or loss lies with the entrepreneur until the product is delivered to the consumer, unless otherwise agreed.
Article 12 – Long-term Transactions: Duration, Termination, and Renewal
Termination:
- The consumer may terminate an agreement of indefinite duration, which includes regular delivery of products or services, at any time, with due observance of the agreed termination rules and a notice period of no more than one month.
- The consumer may terminate an agreement of fixed duration, which includes regular delivery of products or services, at the end of the fixed period, with due observance of the agreed termination rules and a notice period of no more than one month.
- The consumer can:
- Cancel agreements at any time without being limited to cancellation at a specific time or period.
- Terminate agreements in the same manner they were entered into.
- Cancel agreements with the same notice period the entrepreneur has stipulated for itself.
Renewal:
- Fixed-term agreements for regular delivery of products or services may not be automatically renewed or extended for a fixed term.
- By exception, agreements for fixed-term delivery of daily, news, and weekly publications may be automatically renewed for a period of up to three months, provided the consumer can terminate the renewed agreement by the end of the renewal period with a notice period of no more than one month.
- Agreements for fixed-term delivery of products or services may only be extended for an indefinite period if the consumer can terminate at any time with a notice period of no more than one month.
- Trial or introductory subscriptions are not automatically extended and end automatically after the trial period.
Duration:
- If the agreement exceeds one year, the consumer may terminate it at any time after one year with a notice period of no more than one month, unless reasonableness and fairness prevent termination before the end of the agreed duration.
Article 13 – Payment
- Unless otherwise agreed, amounts owed by the consumer must be paid within seven working days after the start of the cooling-off period, as described in Article 6(1). For service agreements, the payment period begins upon receipt of the agreement confirmation.
- The consumer is obligated to immediately report any inaccuracies in the provided or stated payment details to the entrepreneur.
- If the consumer fails to meet their payment obligation(s), the entrepreneur may charge statutory interest and reasonable costs disclosed in advance to the consumer, provided the legal requirements are met.
Article 14 – Complaints Procedure
- The entrepreneur has a well-publicized complaints procedure and handles complaints per this procedure.
- Complaints about the execution of the agreement must be submitted to the entrepreneur within two months after the consumer identifies the defects.
- The entrepreneur will respond to complaints within 14 days from the date of receipt. If a complaint requires more time, the entrepreneur will provide an acknowledgment of receipt and an indication of when the consumer can expect a more detailed response.
- If the complaint cannot be resolved mutually, it results in a dispute subject to the dispute resolution procedure.
- Consumers may direct unresolved complaints to WebwinkelKeur or another recognized dispute mediation entity. If no resolution is reached, disputes may be submitted to the European ODR platform (http://ec.europa.eu/odr).
- Filing a complaint does not suspend the consumer’s payment obligation unless agreed otherwise in writing.
- If a complaint is found to be justified, the entrepreneur will, at its discretion, replace or repair the delivered products free of charge.
Article 15 – Disputes
- Only Dutch law applies to agreements between the entrepreneur and the consumer to which these terms and conditions relate, even if the consumer resides abroad.
- The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Article 16 – Additional or Divergent Provisions
Additional or divergent provisions from these terms must not disadvantage the consumer and must be documented in writing or accessible on a durable medium that the consumer can store and consult.
